This Photo Model Release Agreement (the "Agreement") is made and entered into on the date stated below, by and between the undersigned model (the "Model") and Saltwater Studio (the "Company"). 1. Grant of Rights The Model hereby grants the Company, its agents, and assigns, the irrevocable, perpetual, and worldwide right to use, reproduce, modify, publish, and distribute photographs and/or digital images (collectively, the "Photos") of the Model taken during the photo shoot on agreed upon date, for advertising, promotional, and marketing purposes. This includes, but is not limited to, use in print, online media, social media, and any other digital or physical format. 2. Scope of Use All Photos are subject to use by the Company for advertising purposes, including but not limited to print media, online platforms, social media, and promotional materials. The Model acknowledges that the Photos will be used in accordance with the Company’s marketing strategy and understands that these uses may be visible to the general public. 3. Artist Clause The Model acknowledges and agrees that the type of photography, including but not limited to style, composition, and subject matter, is as determined by the photographer's artistic discretion. The Model agrees that all edits and modifications to the Photos will be made solely at the discretion of the photographer and that no additional edits, alterations, or modifications by the Model or any third party will be permitted. 4. Prohibition on Manipulation and Sale The Model agrees that the Photos shall not be manipulated, altered, or sold in any form without the explicit written consent of the Company. The Photos may only be used by the Company in the manner described in this Agreement and are not to be distributed or commercially exploited in any other manner. 5. Social Media Tagging The Model agrees that any Photos posted or shared on social media platforms must be tagged with the Company's official account @saltwaterstudio.co. This tagging requirement is intended to credit the Company as the creator and owner of the Photos. 6. Release and Waiver The Model hereby releases, discharges, and agrees to hold harmless the Company, its affiliates, agents, employees, and representatives from any and all claims, demands, and liabilities whatsoever in connection with the use of the Photos, including any claims for compensation, infringement of privacy, or defamation. This Agreement constitutes a release for all individuals photographed during the session. The Model acknowledges that this release applies to all subjects present during the photo shoot and grants the same rights and releases as described herein for all individuals captured in the Photos. 7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. 8. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter. No modification of this Agreement shall be valid unless made in writing and signed by both parties.
